About Company Secretary (CS)

The Company Secretary is the governance and compliance professional of Indian business, qualified and regulated by the Institute of Company Secretaries of India (ICSI) under the Company Secretaries Act, 1980, which functions under the Ministry of Corporate Affairs. The Companies Act, 2013 makes the CS a recognized key managerial person: companies above prescribed thresholds must appoint a whole-time Company Secretary, and practising CSs certify secretarial audits and a wide range of corporate filings — a statutory moat comparable to the CA’s audit monopoly, but centred on company law, securities law and board governance.

The qualification runs in three examination stages under ICSI’s Syllabus 2022. Entry is through the CS Executive Entrance Test (CSEET), a 120-minute, 200-mark computer-based test held four times a year. The Executive Programme then covers seven papers in two groups — Group 1: Jurisprudence, Interpretation & General Laws; Company Law & Practice; Setting Up of Business, Industrial & Labour Laws; Corporate Accounting & Financial Management — and Group 2: Capital Market & Securities Laws; Economic, Commercial & Intellectual Property Laws; Tax Laws & Practice. The Professional Programme adds seven papers including two electives, spanning ESG, drafting and appearances, compliance management and due diligence, strategic management and corporate finance, and corporate restructuring, valuation and insolvency.

Training is integral: under the Company Secretaries (Amendment) Regulations, 2020 structure, students complete a one-month Executive Development Programme, 21 months of practical training with a company or practising CS, and a Corporate Leadership Development Programme before membership (ACS). Career-wise, CSs anchor secretarial and compliance departments of listed companies, work in legal and governance advisory, appear before the NCLT and regulators, and increasingly move into ESG and insolvency practice; the qualification also stacks well with a law degree or CA/CMA for a broader corporate-services practice.

Is CSEET compulsory for everyone?

CSEET is the standard entry gate after Class 12, but ICSI exempts candidates who have passed the ICAI (CA) Final or ICMAI (CMA) Final, letting them register directly for the Executive Programme. ICSI has also notified direct-registration windows for graduates and postgraduates meeting specified criteria at various times — verify the current exemption rules on icsi.edu before registering.

Is a Company Secretary a lawyer?

No, though the work is law-heavy. A CS specializes in company law, securities law and governance compliance, and practising CSs can appear before tribunals such as the NCLT for specified matters. Many CSs additionally complete an LLB to widen their advisory and litigation scope, but the CS qualification itself is independent of a law degree.

How does CS compare with CA in difficulty and pay?
